Terms of Service

1. Who we are

Nexyvora is a trading name of [Your full legal name], a sole trader (Einzelunternehmer) based in Austria. In these Terms, "Nexyvora", "we", "us", and "our" refer to the operator. We provide an AI-powered ecommerce listing optimization service (the "Service"). These Terms govern your access to and use of the Nexyvora website and the Service. By creating an account or using the Service, you agree to be bound by these Terms. You must be at least 18 years old (or the age of legal majority where you live) to use the Service.

2. The Service

Nexyvora is a Software-as-a-Service (SaaS) product that generates SEO titles, descriptions, bullet points, ad copy, and pricing insights for ecommerce marketplaces such as Amazon, Shopify, and Etsy. You must be of legal age to form a binding contract, and you must have authority to bind your organization if signing up on its behalf.

3. Plans — Free and Pro

Nexyvora offers two plans:

• Free Plan: includes a limited number of AI generations (currently 10 per month) and basic outputs. Intended to let you try the Service before subscribing.
• Pro Plan: a paid subscription that includes unlimited AI generations, premium AI outputs, export features, and priority processing. Billed monthly unless otherwise stated and renews automatically until cancelled.

Features and limits may change as we improve the Service; material changes to paid plans will be communicated in advance.

4. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. In short, you must not use the Service for unlawful, fraudulent, infringing, hateful, or deceptive purposes; you must not interfere with the Service, scrape at scale, deploy malware, or attempt to jailbreak or prompt-inject our AI. You are responsible for your account credentials and for all activity under your account.

5. AI outputs and your content

You retain the rights to the inputs you provide and you grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display them solely to operate the Service. You are responsible for ensuring you have the rights to all content you submit (including product images and brand assets) and for how you use the generated outputs.

AI outputs are generated automatically and may contain inaccuracies, hallucinations, or claims that are not legally permitted in your market. You must review every output before publishing it and you are solely responsible for the listings, ads, and other content you publish. The Service is not a substitute for professional, legal, medical, financial, or other regulated advice. We do not guarantee that outputs are unique, factually correct, or non-infringing. We may remove or restrict content, refuse or filter outputs, and suspend accounts for repeated infringement. To report infringing content, see our DMCA Policy.

6. Intellectual property

The Service — including its software, models, design, branding, and documentation — is owned by Nexyvora and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your chosen plan. All rights not expressly granted are reserved.

7. Payment and subscription terms

Paid plans are processed by our reseller Paddle.com, the Merchant of Record, or by Stripe where applicable. Paddle.com handles billing, tax collection, invoicing, and customer service for orders processed via Paddle. Subscriptions renew automatically each billing period until cancelled, and prices may be updated with prior notice. 8. Service availability

We work hard to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Account termination

You may cancel your subscription or delete your account at any time. We may suspend or terminate your access for material breach of these Terms, non-payment, suspected security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ends and we may delete your account data after a reasonable export window.

10. Limitation of liability

To the fullest extent permitted by law, Nexyvora's aggregate liability for any claim arising from these Terms or the Service is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, revenue, data, or goodwill. Nothing limits liability for fraud, death, or personal injury where such limitation is prohibited.

11. Indemnity

You agree to indemnify Nexyvora against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law and venue

These Terms are governed by the laws of Austria, excluding its conflict-of-laws rules and the UN CISG. The competent courts of Austria shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms, subject to mandatory consumer-protection rules that grant consumers the right to bring claims in the courts of their place of residence.

14. EU consumer dispute resolution

The European Commission provides an online dispute-resolution platform available at ec.europa.eu/consumers/odr. We are not obliged and not willing to participate in dispute-resolution proceedings before a consumer arbitration board.
